Vendor Agreement

These terms apply when you create a FestLink vendor profile and apply to events. They cover profile accuracy, document validity, payments, and the risks of third-party events.

FestLink helps vendors discover events and apply with one reusable profile. Vendors remain fully responsible for the accuracy of their profile and documents, for meeting legal requirements, and for evaluating each event and organizer before committing money, documents, or attendance.

1. Who this agreement is for

This Vendor Agreement applies to every vendor account on FestLink, including food trucks, food booths, craft and retail vendors, exhibitors, and any other business that creates a vendor profile or submits an application through the platform.

It works together with the FestLink Terms of Service and Privacy Policy. Where a specific vendor rule here differs from the general Terms, this agreement governs your activity as a vendor.

By creating a vendor profile or submitting an application, you accept this agreement on behalf of yourself and any business you represent.

2. Accurate profile and business information

You are responsible for the accuracy of everything on your vendor profile, including your business name, description, category, vendor type, contact details, location, photographs, menus, product lists, and setup requirements.

You must keep your profile current and correct it promptly if anything changes. Organizers rely on your profile to make selection decisions.

You must not impersonate another business, misrepresent your products or services, use photographs you do not have the right to use, or post misleading claims about certifications, awards, or experience.

3. Documents, permits, and insurance

When you upload documents such as insurance certificates, permits, licences, food-handling certificates, or other credentials, you confirm that they are genuine, valid, unexpired, and belong to your business.

You are solely responsible for holding and maintaining every licence, permit, insurance policy, and certification required by law or by an organizer for the events you attend.

FestLink does not verify, endorse, or guarantee the validity of any document. Displaying a document on FestLink is not a substitute for the organizer's own checks or for meeting legal requirements.

Uploading a false, altered, expired, or borrowed document is a serious violation of this agreement and may result in immediate account closure.

4. Applications and organizer decisions

Submitting an application does not guarantee acceptance, a booth, attendance, sales, revenue, or exclusivity. Organizers decide which vendors to approve, waitlist, or decline.

FestLink does not influence, reverse, or participate in an organizer's vendor decisions. Selection, pricing, booth placement, and event rules are set by the organizer.

You are responsible for reviewing each event's requirements, fees, deadlines, and cancellation terms before applying, and for honouring the commitments you make when you apply.

5. Payments are between you and the organizer

Unless FestLink expressly provides payment processing for a specific transaction, all booth fees, deposits, refunds, and other payments are arranged and settled directly between you and the organizer.

FestLink is not a payment processor, escrow service, or guarantor. FestLink does not guarantee that you will be paid, reimbursed, or refunded, and is not responsible for unpaid fees, chargebacks, or payment disputes.

You are responsible for your own taxes, remittances, and financial record-keeping arising from events you attend.

6. Fraud and fake-event risk

FestLink is a marketplace that lists events, including some events created by third parties or drawn from public sources. FestLink cannot guarantee that every event, organizer, opportunity, or attendance claim is genuine or will take place as described.

You are responsible for independently evaluating each event and organizer before paying any fee, signing any contract, or travelling to an event. Treat unusually high upfront fees, pressure tactics, and requests to pay off-platform with caution.

For events that are listed for discovery only and are not open to applications through FestLink, you must apply through the organizer's official channels and confirm the opportunity directly. See our Third-Party Event Listing Policy for details.

If you believe an event or organizer is fraudulent or misleading, stop and contact FestLink at hello@festlink.ca before sending money or documents.

7. Acceptable conduct

You must use FestLink lawfully and professionally. You must not harass organizers or other users, submit spam or fraudulent applications, scrape or misuse platform data, or attempt to bypass security or access controls.

You must not upload unlawful, infringing, harmful, or deceptive content, and you must not use another vendor's identity, documents, or profile.

You must not use FestLink to arrange or promote activity that is illegal, unsafe, or in breach of an event's or venue's rules.

8. Your content and its use

You keep ownership of the content you upload. You grant FestLink a non-exclusive, worldwide, royalty-free licence to host, store, display, and format that content as needed to operate the platform and show your profile to organizers.

You confirm you have all rights and permissions needed to upload and share your content, including photographs and logos.

FestLink may remove content that is unlawful, misleading, unsafe, infringing, or inconsistent with this agreement or the Terms of Service.

9. Suspension and account closure

FestLink may suspend or close a vendor account where reasonably necessary to protect users, investigate misuse, comply with law, or enforce this agreement or the Terms of Service.

Violations that can lead to account closure include submitting false profile information, uploading fake or invalid documents, fraudulent or abusive applications, impersonation, and repeated no-shows or complaints from organizers.

You may stop using FestLink at any time and may request deletion of your account, subject to information we are required or permitted to retain.

10. Disclaimers and responsibility

FestLink provides discovery and application tools on an as-is and as-available basis. FestLink is not the organizer, employer, insurer, or payment guarantor for any event you apply to or attend.

FestLink does not guarantee event quality, attendance, sales, approval outcomes, document validity, or the accuracy of information submitted by organizers or other users.

You are responsible for obtaining your own legal, tax, insurance, health, and safety advice where appropriate, and for your own compliance and commercial decisions.

11. Governing law and changes

This agreement is governed by the laws of Ontario and the applicable federal laws of Canada. Subject to any mandatory legal rights, disputes will be brought before the courts located in Ontario, Canada.

FestLink may update this agreement as the platform changes. Material changes may be communicated through the website, dashboard, or email, and continued use after an update means you accept the revised agreement.
